1. Introduction

1.1. Welcome to Tabular IQ, a desktop AI Data Analysis Platform operated by fopen GmbH. These Terms of Use (“Terms”) govern your access to and use of the tabulariq.com website, our desktop software and related services. By installing, accessing, or using our software, you agree to be bound by these Terms.

1.2. The installed Tabular IQ software is licensed under the Tabular IQ License Agreement, which is shown and accepted during installation and can be read at any time in the software’s About window. Where these Terms and the License Agreement differ with respect to the software and its online features, the License Agreement governs.

2. Service Description

2.1. Tabular IQ provides desktop-based AI-powered data analysis tools and services, including but not limited to:

  • Data processing and analysis
  • AI-driven insights generation
  • Custom report creation
  • Data visualization tools

2.2. We reserve the right to:

  • Modify, suspend, or discontinue any aspect of Tabular IQ at any time
  • Add new features or services, including web-based functionality
  • Update the software through automatic or manual updates

3. User Eligibility and Registration

3.1. You must be at least 16 years old to use Tabular IQ, in compliance with GDPR requirements.

3.2. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring your account information remains accurate and current
  • Maintaining appropriate security measures on your computer

3.3. You must not:

  • Share your account credentials
  • Use Tabular IQ for any illegal purposes
  • Attempt to gain unauthorized access to our systems
  • Circumvent any security measures of the software

4. Data Processing and Privacy

  • You may use the software for your intended purposes

6. Software Limitations and Acceptable Use

6.1. You agree not to:

  • Use Tabular IQ for any illegal purposes
  • Upload malicious code or attempt to compromise our systems
  • Use our software in a way that could damage, disable, or impair our systems
  • Attempt to access other users’ data without authorization
  • Decompile, disassemble, or reverse engineer the software

7. Payment Terms

8. Service Level and Support

  • Through our designated support channels
  • Subject to your license level

9. Limitation of Liability

9.1. To the extent permitted by law, we are not liable for:

  • Indirect or consequential damages
  • Loss of profits or data
  • Software interruptions
  • Accuracy of AI-generated insights
  • Data loss or corruption

9.2. Our liability is limited to:

  • Direct damages
  • The amount paid for the software license in the preceding 12 months
  • Cases of gross negligence or willful misconduct

10. Termination

10.1. You may terminate your license at any time by:

  • Following the account closure process
  • Contacting our support team
  • Providing 30 days’ written notice

10.2. We may terminate your license if you:

  • Violate these Terms
  • Fail to pay applicable fees
  • Engage in fraudulent activity
  • Use the software in an unauthorized manner

11. Governing Law and Dispute Resolution

11.1. These Terms are governed by the laws of the Federal Republic of Germany. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11.2. If you are a merchant, a legal entity under public law or a special fund under public law, or have no general place of jurisdiction in Germany, the courts of Stuttgart, Germany have exclusive jurisdiction for any dispute arising from these Terms. If you are a consumer, the statutory rules on jurisdiction apply, and the mandatory consumer protection law of the country in which you habitually reside remains unaffected.

11.3. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

12. Changes to Terms

12.1. We may modify these Terms at any time by:

  • Posting changes on our website
  • Notifying you via email
  • Requiring acceptance of new terms for continued use

12.2. Continued use of Tabular IQ after changes constitutes acceptance of the modified Terms.
